These Terms of Service (“Terms”) are an agreement between Akilli AI LLC (“Company,” “we,” “us,” or “our”) and you (“you” or “User”). They govern your access to and use of Echo, our speech-first language learning app and related websites, content, and services (collectively, the “Service”).

1) What Echo Is

Echo helps you practice real conversations with AI tutors to improve speaking and fluency. The Service is currently in beta; features may change, be limited, or be unavailable at times.

2) Eligibility & Accounts

• You must be 13+ to use Echo. If you are under 18, you represent you have a parent/guardian’s consent.

• Create an account with accurate information and keep your credentials secure.

• One account per person. Account sharing is not permitted. We may suspend or terminate accounts that violate these Terms.

3) Licenses & Ownership

• We grant you a personal, limited, revocable, non-transferable, non-exclusive license to use the Service for your own learning.

• Echo, including all software, UI, and content we provide, is owned by us or our licensors and protected by law. You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.

4) Your Content

Using Echo may involve speech/audio, text, and other inputs (“User Content”). You retain ownership of your User Content. You grant us a license to host, process, and display your User Content only as needed to operate, protect, and improve the Service (e.g., to provide feedback, maintain quality, detect abuse). See our Privacy Policy for data practices.

You are responsible for your User Content. Don’t upload anything illegal, infringing, or abusive.

5) Prohibited Conduct

You agree not to:

• Share accounts or circumvent access limits.

• Use the Service for unlawful purposes, spam, scraping, or to build a competing model/service.

• Interfere with or disrupt the Service or other users.

• Upload content that is illegal, harassing, hateful, or violates others’ rights.

We may investigate violations and suspend or terminate access at our discretion.

6) Subscriptions, Billing, and Renewals

Parts of Echo require a paid subscription. When you subscribe, you authorize the applicable app-store or payment processor (e.g., Apple) to charge you the fees, taxes, and any recurring amounts.

• Auto-renewal. Subscriptions auto-renew until you cancel. Manage or cancel in your Apple ID / App Storesettings (or as otherwise indicated in the app).

• Pricing & Changes. We may change prices or plans by posting new pricing in the app or store; changes apply to future periods.

• Refunds. For purchases made via the App Store, refunds are handled exclusively by Apple under their policies. For purchases through other processors, we generally do not offer refunds except where required by law. If you believe there’s a billing error, contact us.

7) Third-Party Services

The Service may integrate with or link to third-party services (e.g., app stores, authentication, payments). We don’t control third-party services and aren’t responsible for their content or policies. Your use of them is governed by their terms and privacy policies.

8) Beta; No Guarantee of Accuracy

Echo is in beta and provided on an “AS IS” and “AS AVAILABLE” basis. Language feedback, transcriptions, and suggestions may be incomplete or inaccurate. Do not rely on Echo for situations where errors could cause harm.

9) Disclaimers

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not guarantee uninterrupted or error-free operation.

10) Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill. Our total liability for any claim arising from or relating to the Service is limited to the amounts you paid to us for the Service in the twelve (12) months before the claim arose, or $50 USD if no such payments were made.

Some jurisdictions don’t allow certain limitations; in that case, those limitations apply to the fullest extent permitted.

11) Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms or any law.

12) Termination

You may stop using Echo at any time. We may suspend or terminate your access immediately for any violation of these Terms, suspected fraud/abuse, or to comply with law. Upon termination, your license ends and you must stop using the Service. Sections intended to survive (e.g., ownership, disclaimers, limitations, indemnity) will survive.

13) Changes to the Service or Terms

We may modify the Service or these Terms. If we make material changes, we’ll post the new Terms in the app or site and update the Effective Date. Your continued use after changes become effective constitutes acceptance.

14) Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for all disputes, and waive any objections to personal jurisdiction or venue there.

15) Miscellaneous

• If any provision is unenforceable, the remainder remains in effect.

• You may not assign these Terms without our prior written consent. We may assign to an affiliate, successor, or acquirer.

• These Terms (plus any policies referenced, like the Privacy Policy) are the entire agreement between you and us about the Service.
